Throughout the Platform, the terms “we”, “us” and “our'' refer to TRADIIFY and all its affiliated Platforms, the brand name used for the specific services described on https://www.tradiify.com/ (the “Website” or “Platform”). TRADIIFY offers services, including all information, tools, and services available to you ( the “User”), conditioned upon your acceptance of all terms, conditions, policies, and notices stated here. These terms (the "Terms") apply to the use of our services (the "Services") provided by TRADIIFY and all its affiliated Platforms. 

Remember, by using our Services, you agree to comply with these Terms, so make sure to review them thoroughly. As TRADIIFY continues to evolve, any new features or tools added to the current Website will also be governed by these Terms of Use. These Terms govern all of your activities on the TRADIIFY website, our mobile applications and any other associated services. As a mentor publishing a course on the TRADIIFY platform, you must agree to our Mentor Onboarding Agreement. Our Privacy Policy outlines how we process personal data for both students and mentors. The Mentor Onboarding Agreement, Privacy Policy, and any other policies applicable to your use of our Services are included by reference within these Terms.

"Explicit Disclaimer: TRADIIFY is not an accredited educational institution. The certificates issued upon completion of courses are solely indicative of course participation and do not confer any formal qualifications, degrees, or professional credentials. These certificates do not serve as evidence of the holder’s proficiency, knowledge acquisition, or competency in any subject matter, nor do they reflect any graded assessment or academic achievement. Accordingly, these certificates are not recognized for purposes of employment qualifications or academic credit. There might not be any legal remedy for any academic, professional, reputational and/or financial damage resulting from such courses and certifications.”

BY AGREEING TO THESE TERMS, YOU CONSENT TO RESOLVE ANY DISPUTES WITH TRADIIFY EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION AT THE DUBAI INTERNATIONAL ARBITRATION CENTRE. YOU ALSO WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTIONS AND TO HAVE ANY CLAIMS ADJUDICATED BY A JURY, AS OUTLINED IN THE DISPUTE RESOLUTION CLAUSE.

  1. INTRODUCTION

In order to use TRADIIFY Platform, users shall be informed of what TRADIIFY is providing and how does it works. Following shall be read and understood by the user before using any services on the TRADIIFY Platform.

TRADIIFY, is a premier learning management system dedicated to advancing the knowledge and professional skills of individuals within the financial sector. TRADIIFY is an online course marketplace specifically designed to facilitate the seamless interaction between mentors and students, fostering an environment where knowledge and expertise can be effectively shared. Our platform offers a robust suite of features tailored to support the creation and delivery of financial education, including the ability to host unlimited video courses, live classes, text-based courses, projects, quizzes, and other educational materials. This ensures that both educators and learners have access to the tools necessary to enhance their teaching and learning experiences, respectively.

TRADIIFY was established with a clear mission: to provide comprehensive, accessible, and innovative education in the financial domain. TRADIIFY’s platform is backed by a team of seasoned financial experts, educators, and technologists who are committed to delivering a sophisticated, user-friendly learning experience. We aim to democratize financial education by bridging the gap between theoretical knowledge and practical application, thereby empowering users at all levels—from novice traders to experienced market professionals—to navigate the complexities of the financial markets with confidence and skill. In its role, TRADIIFY reserves the right to review, moderate, and modify mentor-curated content to enhance user experience and optimize technological integration. This ensures that the content provided aligns with platform standards and meets the needs of users effectively.

  • Account Creation: To engage in most activities on our platform, account creation is required. It is imperative that you maintain the confidentiality of your password, as you bear full responsibility for any actions conducted through your account. Should you suspect unauthorized use of your account, it is your duty to promptly notify our Team. Additionally, you must have attained the legal age of consent for online services as stipulated by the laws of your country to access and use TRADIIFY.

  • Expert Mentors: Courses are taught by seasoned professionals with extensive real-world experience.

  1. TRADIIFY  SERVICES

    1. Platform: Our platform enables mentors to develop and deliver educational content and courses on diverse topics. These courses cover a broad spectrum of subjects, including financial marketplaces, strategies, terminologies, research, and practical case studies. Students can access this rich array of content to gain a thorough understanding of both traditional and modern financial markets on a global scale. The Platform offers a wide range of Services (the “Services”) such as:

      1. Mentor Content Management: TRADIIFY facilitates the onboarding of educational organizations and institutions, colleges, coaching centers, universities, their faculties, and independent freelancers to post content on a diverse range of subjects and topics such as Financial Markets and Instruments, Investment Strategies, Corporate Finance, Financial Planning, Risk Management, Financial Services, Quantitative Finance, Automation, NFTs, Assets Classes, Trading Strategies, Stock and Forex Market, Blockchain and Crypto related topics. These mentors, esteemed experts in their fields, are empowered to generate, curate, and upload educational material on the platform. All content submitted by mentors is subject to TRADIIFY’s moderation policies to ensure compliance with platform standards and enhance user experience.

      2. Diverse Course Catalog: TRADIIFY offers a diverse range of courses designed to address various aspects of the financial marketplace, including strategies, terminologies, research, and practical case studies. These courses are available in multiple formats to meet the distinct needs of users, such as bundle courses, live classes, text courses, and featured courses. The courses are organized into structured categories, including Asset Classes, Trading Strategies, Market Participation, Trading Platforms, Risk Management, Automation, Cryptocurrencies, Forex, Blockchain, Stock Market and NFTs. Each category is further divided into subcategories to align with users' specific interests. TRADIIFY reserves the right to introduce additional courses on other subjects on its platform in the future.

      3. Expert-Led Instruction: Access to education from seasoned professionals who are the mentors on the platform with extensive industry experience.

      4. Interactive Learning: Engaging content including simulations and real-world case studies.

      5. Mentor Services: Mentors are available to provide educational services through various formats and filters. Students have the option to select mentors based on their required level of training—whether beginner, intermediate, or advanced. Additionally, mentors can be chosen based on gender preference, either male or female. Meetings with mentors can be conducted in various settings, including in-person or online, according to the user's preference. Users can specify their preferred time range for mentorship, whether it be across all weekdays or specific days. Furthermore, users have the option to select mentors based on their preferred country or location worldwide. TRADIIFY also provides filters to assist users in selecting mentors based on criteria such as price range, availability, and location.

      6. Unlimited Course Creation: Opportunities for mentors to develop and deliver a wide range of educational materials.

      7. Resource Library and Store: Extensive collection of webinars, e-books, articles, glossary and tutorials. TRADIIFY presents its online store to purchase various educational tools such as painting tools, advanced microscopes, softwares and e-books etc.

      8. Global Knowledge Aggregation: Connection between expert professionals and students worldwide.

      9. Community Engagement with Forum: Networking and discussion opportunities within a vibrant learning community with other users as well on a topic where the users need help.

      10. Flexible Access: Courses available anytime, anywhere, on any device for self-paced learning.

      11. Cutting-Edge Technology: A user-friendly platform designed for an effective learning experience in required language preference.

      12. Continuous Improvement: Ongoing updates to platform features and educational content to ensure quality.

    2. To enhance the value of investments in educational courses, TRADIIFY is actively working on introducing additional functionalities and expanding its course catalog to include a diverse range of subject matter. This initiative aims to provide users with expanded opportunities to acquire knowledge and skills across a broader spectrum of topics, thereby increasing the variety and depth of courses available through the platform.

    3. Use of Services. You and any other users whether a mentor or a student, that have registered for an Account (defined below) are each a “User” whose use of the Service may include: (a) accessing, subscribing, downloading or using any component of the Service; (b) generating or posting any content or course over platform, (c) buying any course(s) or receiving any certificate(s) via any component of the Service; (c) using platform, communicating with mentors or other users over forum, sending messages to or otherwise transacting with any component of the Service; and (d) using store and glossary or buying tools from the store.

WHEN UTILISING TRADIIFY PLATFORM OR SERVICES, YOU ACKNOWLEDGE AND ASSUME FULL RESPONSIBILITY FOR ANY POTENTIAL RISKS OR CONSEQUENCES. WE DO NOT HOLD ANY LIABILITY FOR ANY HARM, LOSSES, OR DAMAGES THAT MAY RESULT FROM YOUR USE OF OUR SERVICES, INCLUDING, BUT NOT LIMITED TO, MISUSE OF SERVICES, TRANSACTION PROBLEMS, TECHNICAL ISSUES, UNAUTHORIZED ACCESS TO USER ACCOUNT, LEGAL MATTERS, OR FRAUD COMMITTED BY MENTORS, MISLEADING KNOWLEDGE IMPARTED BY  MENTORS, LEARNING FROM MENTORS WHO ARE NOT CERTIFIED OR LICENSED IN THEIR JURISDICTION TO TEACH, UNACCEPTABILITY OF COURSE COMPLETION CERTIFICATES ISSUED BY TRADIIFY IN ACADEMIC OR PROFESSIONAL USE. 

IN ADDITION, YOU AGREE NOT TO EMPLOY OUR PLATFORMS OR SERVICES IN A MANNER THAT VIOLATES ANY RELEVANT LAWS OR REGULATIONS. THIS INCLUDES REFRAINING FROM USING OUR SERVICES TO INFRINGEMENT OF COPYRIGHTS OF CONTENTS AND MATERIALS, WORK OF AUTHORSHIP, REPRODUCTION RIGHTS, TANGIBLE MEDIUMS, LICENSING, FAIR DEALING AND FAIR USE. IT'S IMPORTANT TO NOTE THAT IF YOU ARE PROHIBITED OR RESTRICTED FROM USING SUCH SERVICES DUE TO APPLICABLE LAWS AND REGULATIONS, YOU MAY NOT BE ELIGIBLE TO USE TARDIIFY SERVICES.

  1. KEY DEFINITIONS

    1. “Course” means a complete series of lessons or studies, which may be further subcategorized into different subjects and topics. The types of courses are arranged in bundle courses, text courses, and featured courses of live as well as recorded sessions. The courses are organized into structured categories, including Asset Classes, Trading Strategies, Market Participation, Trading Platforms, Risk Management, Automation, Cryptocurrencies, Forex, Blockchain, Stock Market and NFTs.

    2. “Mentor” means an educator, instructor or a teacher who imparts education, knowledge, skills in the financial domain on the TRADIIFY Platform and guides and supports the student to learn. Mentor is a more experienced and certified teacher who creates content (content provider) according to his field of expertise and knowledge. It may include educators from educational organizations and institutions, universities, colleges, coaching hubs, professionals and freelancers.

    3. "Service" means an intangible offering that involves providing assistance, support, or a specific benefit to users and shall mean and include all the services referred to in this clause and such other products or services as may be offered by TRADIIFY. Here services are actions or performances provided by TRADIIFY to users. For the purposes of these Terms, "Services" refers to the comprehensive suite of offerings provided by TRADIIFY, which includes, but is not limited to:

  • Educational Content: Access to a diverse range of educational materials, including articles, tutorials, videos, and other resources, designed to enhance knowledge and understanding of financial marketplaces, investment strategies, financial terminologies, and practical case studies.

  • Courses and Training: Structured courses created and delivered by mentors, covering various topics related to traditional and modern financial markets, financial planning, risk management, corporate finance, and investment strategies.

  • Mentor-Led Instruction: Interactive learning sessions led by experienced mentors, providing personalized instruction, guidance, and feedback on financial topics and practical applications.

  • Student Access: The ability for registered students to view, engage with, and participate in the educational content and courses provided on the Platform, enabling them to develop a deep understanding of financial markets and strategies.

  • Platform Features: Tools and functionalities available on the Platform that facilitate course enrollment, content consumption, mentor-student interactions, progress tracking, and other related activities.

  • Support Services: Customer support and technical assistance related to the use of the Platform, including help with account management, course access issues, and other inquiries.

  • Additional Resources: Any supplementary materials, updates, or enhancements to the educational content and services offered by TRADIIFY, as may be made available from time to time.

  1. “User” means all individuals or entities who engage with the TRADIIFY Platform. Each category of Users interacts with the Platform to fulfill their respective roles, whether by consuming educational materials, delivering content, or managing educational programs, which includes:

  • Students: Individuals who register on the Platform to access and participate in educational content and courses. Students seek to enhance their knowledge and skills in financial markets, strategies, and practical applications.

  • Mentors: Educators or content creators who provide and facilitate courses, training sessions, and educational materials on the Platform. Mentors offer expertise and guidance on various financial topics, helping students to deepen their understanding of financial marketplaces and strategies.

  • Educational Organizations and Institutions: Entities that may use the Platform to offer their own courses or collaborate with TRADIIFY in delivering educational content. It may include schools, Colleges, Universities and Coaching Hubs.

  • Prospective Users: Individuals or entities who visit or interact with the Platform for the purpose of exploring available educational resources or learning opportunities but have not yet registered as a Student or Mentor.

  • Authorized Representatives: Individuals acting on behalf of Students, Mentors, or Educational Institutions, such as administrators or agents, who manage accounts or engage with the Platform in an official capacity.

  1. ACCOUNT CREATION AND INITIATION: 

To engage in most activities on our platform, including purchasing and accessing content or submitting content for publication, you must create an account. It is essential that the information you provide during account setup and maintenance is accurate and up-to-date, including a valid email address. You are fully responsible for your account and any actions taken through it, including any harm or damage caused by unauthorized use. Therefore, safeguarding your password is crucial. You are prohibited from transferring your account to another person or using someone else's account vice-versa. If you need to request access to an account, you must provide sufficient information to verify your ownership. We will not grant access without proper verification.

Sharing your account login credentials with others is strictly forbidden. You are accountable for all activity related to your account, and we will not mediate disputes involving shared credentials. If you suspect that someone else is using your account or if you notice any other security issues, you must immediately notify our Team. We may require additional information to verify your account ownership.  In the event of a user’s death, their account will be closed.

To create an account on TRADIIFY, users must be at least 18 years old. If you are under 18 (“minor”) but meet the minimum age requirement for online services in your country (e.g., 16 in the EU, 18 in India, 13 in the US, or 16 in Ireland), you must have a parent or guardian set up an account on your behalf. If you do not meet these age requirements, you are not permitted to create an account on TRADIIFY. Any accounts found to be in violation of this policy will be terminated. 

Minors are not eligible to register independently on the Platform. If a Minor uses the Platform, it is assumed that their Parent has consented to the Minor’s use by agreeing to the Platform Terms and is supervising the Minor’s activities.

Additionally, mentors may be required to verify their identity before they are authorized to submit content for publication in accordance with our Mentor Onboarding Agreement.

  1. ELIGIBILITY TO USE THE SERVICE

TRADIIFY operates primarily from Dubai, United Arab Emirates (UAE) with additional operations conducted from India. Despite this operational base, TRADIIFY provides its services on a global scale. If you are registering to use the Services as a mentor, you confirm that it is your responsibility to obtain and maintain the relevant license or authorization necessary to provide services on the platform, as may be required by the jurisdiction where you reside. 

Furthermore, you represent and warrant that:

  1. You are of legal age to enter into a binding contract in your country.

  2. You have not been previously suspended or removed from using our Services.

  3. You have the full power and authority to enter into this agreement without violating any other agreement you are a party to.

  4. You are not subject to any financial sanctions, embargoes or other restrictive measures imposed by the United Nations, or UAE Laws under PMLA Act or any governmental authority in any jurisdiction in which TRADIIFY Platform is available (collectively, “Sanctions”).

  5. You are not identified as a "Specially Designated National"

  6. You will not use our Services, if any applicable laws in your country prohibit you from doing so according to these Terms.

TRADIIFY reserves the right to establish eligibility criteria for specific Services or functionalities, and these criteria will be made available on our website. Periodically, we may ask you to prove your continued compliance with these criteria. Our determinations regarding eligibility are conclusive.

Any breach of these terms grants TRADIIFY the authority to pursue compensation for damages resulting from such breaches. Users are categorically forbidden from participating in illegal, unlawful or invalid  activities that could compromise the security and reliability of our Services.

At our complete discretion, TRADIIFY may also choose to restrict access to our Services for any user, service, course,  region, or jurisdiction, at any given time.

  1. COURSE REGISTRATION AND CONTINUED ACCESS

When students register in a course on our platform, they are typically granted continued access. However, we reserve the right to revoke access to any content at any time, particularly if we need to disable access due to copyright issues, legal obligations, or policy reasons. This includes situations where the content you enrolled in is subject to a copyright claim or found to be in violation of our Platform Guidelines.

Please note that continued access does not apply to enrollments made through Subscription Plans, nor does it extend to add-on features or services associated with the course or content. Additionally, mentors may choose to discontinue offering teaching assistance, publication updates, or doubt clearing sessions related to the content at any time. To clarify, continued access pertains solely to the course content itself, not to ongoing support from the mentor.

Mentors are not permitted to directly grant access to their published content on TRADIIFY outside of our platform. Any such direct access will be considered invalid and a violation of these Terms.

Under our Mentor Onboarding Agreement, mentors who publish content on TRADIIFY grant us the authority to provide access to this content to students. This means that TRADIIFY holds the right to grant students access to the content they enroll in, whether it is free or paid. When you, as a student, enroll in a course or other content on TRADIIFY, you receive permission from us to view the content through our platform and services. TRADIIFY acts as the official certifier of these permissions. It is important to understand that you are granted access to the content, not ownership, and this permission does not allow you to resell or distribute the content in any form. This includes sharing your account information, downloading the content illegally, or posting it on other platforms.

TRADIIFY grants you, as the student, a limited, non-exclusive, non-transferable license to access and view the content for which all applicable fees have been paid. This license is solely for your personal, non-commercial, educational use through our services, and is subject to these Terms and any specific conditions or restrictions tied to the content or features of our platform. Any other use of the content is strictly prohibited. You are not permitted to reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works from, sublicense, or otherwise transfer or use any of the content. 

  1. PRICING, PAYMENTS AND REFUNDS

    1. Pricing:

      1. Determination of Prices: The prices for content available on the TRADIIFY Platform are set in accordance with the Mentor Onboarding Agreement and our Promotions Policy. TRADIIFY may offer promotions and discounts for certain content at its discretion, and such promotional prices will be applicable only during the specified discount period. The price effective at the time of purchase (checkout) will be the price charged.

      2. Currency and Payment:

  • For users located in India, all payments will be processed in Indian Rupees (INR). 

  • For global users, pricing is displayed in USD, and users have the option to pay in either USD, USDT or any other applicable currency based on the user’s jurisdiction and payment gateway used by Tradiify.

  1. Taxes: If applicable, the prices displayed may include taxes such as sales tax, goods and services tax (GST), or value-added tax (VAT). TRADIIFY is responsible for collecting and remitting any applicable taxes to the relevant tax authorities.The final course price at checkout will reflect the course fees inclusive of taxes.

  2. Modification of Prices: TRADIIFY reserves the right to modify course prices at any time, including adjustments to reflect changes in applicable tax rates or regulatory requirements. Any changes will be applied from the date of modification, and users will be charged the price in effect at the time of their purchase.

  1. Payments by Students :

    1. Payment Authorization: By purchasing content on the TRADIIFY Platform, you agree to pay the applicable fees and authorize TRADIIFY to charge your debit or credit card, or process other payment methods such as USDT, PayPal, direct debit, or mobile wallet, for these fees. TRADIIFY partners with payment service providers to offer secure and convenient payment options and to safeguard your payment information. We may update your payment methods based on information provided by our payment service providers.

    2. Payment Methods: For users located in India, payments will be processed in Indian Rupees (INR). TRADIIFY does not display pricing in USDT for the Indian users. For users outside India, pricing shall be displayed in USDT, USD, or any other applicable currency based on the student’s jurisdiction, and payments will be processed through PayPal.

    3. Invalid or Unauthorized Payment Methods: You agree not to use an invalid or unauthorized payment method. If your payment method fails but you continue to access the content, you are obligated to settle the outstanding fees within 30 days of receiving notification from us.

    4. Access to Content: TRADIIFY reserves the right to disable access to any content if we have not received the corresponding payment in full. Access to content will be granted only upon successful payment of the applicable fees.

    5. Updates to Payment Information: TRADIIFY may update your payment methods based on information provided by our payment service providers to ensure accurate and secure transactions.

  3. Refunds: Please refer to our Refund Policy for detailed information regarding Refunds.

  1. USER CONDUCT AND CONTENT RESPONSIBILITY

As a mentor on the platform, you have the opportunity to submit content for publication and engage with students enrolled in your courses. However, it is crucial that you comply with all applicable local and national laws and respect the rights of others. This means that you are prohibited from posting any course or other content that violates legal regulations in your country or infringes on the rights of others. You bear full responsibility for the courses, content, and actions you take on the platform and their resulting consequences. Before submitting any content for publication, make sure you fully understand the copyright restrictions outlined under the clauses of Intellectual Property and Representation and Warranties in the Mentor Onboarding Agreement.

If we are informed that your course or content violates the law or infringes on the rights of others—such as intellectual property or image rights—or if it relates to illegal activities, we may take action. Additionally, if we determine that your content or behavior violates our Platform’s Guidelines or is otherwise unlawful, inappropriate, or objectionable (such as impersonating someone else), we reserve the right to remove your content from the platform. TRADIIFY adheres strictly to copyright laws and Intellectual Property regulations.

As a student, the Services allow you to interact with mentors of the courses or content you’re registered in. You can ask questions, clarify doubts, and post reviews about the content. In some cases, mentors may also invite you to submit assignments such as homework or tests. It is important to ensure that any content you post or submit is your own and not copied from others.

You must not use the Services or create an account for any unlawful purposes. Your use of the Services and your conduct on our platform must adhere to all relevant local and national laws and regulations applicable to you. It is your responsibility to be aware of and comply with these legal requirements.

If you come across content published by a user that infringes on your copyright or trademark rights, please notify us at support@tradiify.com. Our Mentor Onboarding requires that mentors respect the law and the intellectual property rights of others as stated under the clauses of Representation and Warranties and Intellectual Property of Mentor Onboarding Agreement.

  1. ACKNOWLEDGEMENT OF CONTENT RESPONSIBILITY, INTERACTION AND USING TRADIIFY AT OWN RISK

TRADIIFY operates as a content aggregator and moderator, providing a platform for mentors to publish and share content, and for students to access and learn from it. We do not review, edit, or verify the legality, accuracy, reliability, or authenticity of the content provided by mentors, nor do we exercise any editorial or research oversight. Consequently, TRADIIFY does not guarantee the veracity or validity of any content available on the platform.

While TRADIIFY retains the right to review, moderate, and amend mentor-generated content to enhance user experience and optimize technological integration, we are not responsible for ensuring that content complies with legal standards. Users are solely responsible for their reliance on the information provided by mentors and access such content at their own risk. 

You may encounter content that you find offensive, indecent, or objectionable. TRADIIFY disclaims any responsibility for filtering such content and bears no liability for your access or enrollment in any course or content, as permitted by applicable law. By using our Services, you acknowledge the inherent risks associated with accessing this content, including potential impacts on your finances, reputation, solvency, creditworthiness, liability, market reliability, and voluntarily assume these risks.

Interactions between users, including mentors and students, occur at their own discretion and convenience. TRADIIFY is not liable for any loss or damage, whether financial, reputational, mental, or otherwise, that may arise from such interactions. We do not endorse or condone any content that promotes harmful ideologies, including those based on caste, creed, regional, religious, sexual, anti-national, terrorism, money laundering, siphoning of funds, black marketing or anti-social views.

You may also encounter links to external websites that TRADIIFY does not control. We are not responsible for the content or data collection practices of these external sites, and we encourage you to review their terms and privacy policies.

When using our Services, exercise caution when sharing personal information with other users. TRADIIFY does not control how mentors or other users handle shared information and is not liable for any issues arising from such interactions. 

By using TRADIIFY, you acknowledge and accept all associated risks and agree to bear full responsibility for your use of the platform.

  1. ENFORCEMENT AND TERMINATION OF ACCESS

TRADIIFY retains the right to enforce these Terms and its platform Guidelines at its discretion. We may restrict or terminate your access to our platform and Services, or ban your account, at any time and with or without prior notice. This action could be taken for any reason or no reason at all, including but not limited to violations of these Terms, non-payment of fees, fraudulent chargeback requests, compliance with law enforcement or government requests, prolonged inactivity, unforeseen technical issues, suspected fraudulent or illegal activities, or other reasons determined solely by us.

If we decide to terminate your access, we may delete your account and content (content published by you as a mentor or content purchased and viewed by you as a student), and block you from further use of our platforms and Services. Please note that even if your account is terminated or suspended, your content might still be accessible on our platforms. By using our Services, you agree that TRADIIFY will not be liable to you or any third party for any termination of your account, removal of content, or blocking of access.

  1. MENTOR’S OWNERSHIP AND LICENSING OF CONTENT 

The content you create and post on our platform, including courses, remains your property. By submitting courses and other materials, you grant TRADIIFY the right to use, share, and distribute this content, but your ownership rights are not relinquished. It is essential to review and understand the terms relating to licensing of content specified under the clause Intellectual Property and Representation and Warranties in the Mentor Onboarding Agreement.

When you submit content, including comments, questions, reviews, and ideas or suggestions for new features or improvements, you grant Us a broad license to use and disseminate this content. This includes the right to distribute, promote, and make modifications or edits to your content across any platform and media as we deem appropriate including advertising on other websites.

By submitting or posting content on or through our platforms, you grant us a global, non-exclusive, royalty-free license including sublicense to utilize, replicate, reproduce, process, adapt, alter, publish, transmit, showcase, and distribute your content across all current and future media and distribution channels. This encompasses making your content accessible to other entities, organizations, or individuals that collaborate with TRADIIFY for the syndication, broadcast, distribution, or publication of content on various platforms, as well as leveraging your content for promotional activities.

You also forfeit any claims to privacy, publicity, or similar rights regarding these uses, to the extent allowed by applicable law. You affirm and guarantee that you possess all necessary rights, authority, and power to grant us permission to use any content you provide. Furthermore, you consent to these uses of your content without expectation of compensation.

  1. MENTOR ENGAGEMENT 

    1. Prohibition of Direct Engagement: Users agree not to engage, directly or indirectly, with any mentors listed on the Platform for services, guidance, or communication outside of the Platform’s designated communication channels, both during their use of the Platform and for a period of one (1) year following the termination or cessation of their engagement with the Platform.

    2. Acknowledgment of Platform Dependency: By utilizing the Platform, users acknowledge and agree that all mentorship-related interactions and communications must occur exclusively through the Platform's designated features and communication tools.

    3. Liability Disclaimer: The Platform shall not be held liable for any agreements, interactions, or engagements, whether formal or informal, that occur between users and mentors outside of the Platform’s provided services. Any such interactions are undertaken at the user’s own risk.

    4. User Responsibilities: Users are solely responsible for ensuring that all communications and interactions with mentors are conducted strictly through the approved channels provided by the Platform, in full compliance with these Terms of Use.

    5. Consequences of Breach: Any breach of the above clauses, including engaging with mentors outside of the Platform’s designated communication channels, may result in the immediate termination of the user’s account, forfeiture of any fees paid, and/or legal action for any damages incurred by the Platform as a result of the breach.

  2. TRADIIFY’S OWNERSHIP, USAGE RESTRICTIONS AND PROHIBITED CONDUCT

TRADIIFY holds ownership of the platform and Services, including the website and on mobile, any present or future applications, as well as associated components such as logos, APIs, code, and content developed by our team. Unauthorized access or interference with these assets is strictly forbidden. All rights, titles, and interests in and to the TRADIIFY platform and Services, including but not limited to our website, applications, APIs, databases, and content produced by our employees or affiliates (excluding content contributed by mentors and students), are and shall remain the sole and exclusive property of TRADIIFY and its licensors. TRADIIFY has applied for trademark protection under The Trade Marks Act of 1999 and the Trade Marks Rules of 2017 under Indian laws , and our platforms are safeguarded by applicable trademark laws within India.  The platform will make reasonable efforts to secure trademark protection in additional jurisdictions globally in the future. Upon obtaining such protection, the applicable trademark laws of those jurisdictions will also govern and apply accordingly. Users must adhere to all provisions, rules, and regulations related to trademark infringement as applicable to TRADIIFY. Unauthorized use, imitation, or infringement of the TRADIIFY trademark or related intellectual property rights is prohibited and may result in legal action.

No rights are conferred to utilize TRADIIFY’s name, trademarks, logos, domain names, or other distinctive brand elements. Any feedback or suggestions you provide concerning TRADIIFY or its Services are offered voluntarily, and we reserve the right to utilize such feedback or suggestions at our sole discretion without any obligation or compensation to you. 

When utilizing the TRADIIFY platform and Services, you are expressly prohibited from:

  1. The use of any content that is false, offensive, harmful, obscene, pornographic, hateful, defamatory, disparaging, abusive, threatening, or otherwise unlawful or infringing upon the legal rights of others is strictly prohibited.

  2. TRADIIFY strictly prohibits the use of its Services for any illegal activities. Should a user engage in abusive conduct or display suspicious or malicious behavior, TRADIIFY reserves the right to immediately restrict access to the platform, suspend the user's account, and block any balances in your account. Furthermore, such activities will be reported to the appropriate regulatory and statutory authorities as required.

  3. Unauthorized actions regarding TRADIIFY's content and intellectual property are strictly prohibited. Such actions include, but are not limited to, modifying, replicating, duplicating, copying, downloading, storing, transmitting, disseminating, transferring, disassembling, broadcasting, publishing, removing or altering copyright notices or labels, licensing, sub-licensing, selling, mirroring, designing, renting, leasing, private labeling, granting security interests, creating derivative works, or otherwise exploiting any part of TRADIIFY's content or intellectual property. These actions may not be undertaken without prior written consent from TRADIIFY.

  4. Disrupting, circumventing, or conducting tests on the security mechanisms of the platform, including probing, scanning, or attempting to exploit any vulnerabilities within our systems.

  5. Accessing or searching our platform using methods beyond the provided search functionalities available on our website, mobile applications, or API, and only in strict compliance with the API terms and conditions. Automated access methods, including scraping, spiders, robots, or similar technologies, are expressly forbidden.

  6. Copying, modifying, creating derivative works, reverse engineering, or otherwise attempting to discover any source code or content present on the TRADIIFY platform or Services.

  7. In addition, you are expressly prohibited from:

a) Utilizing any methods or technologies designed to obscure IP addresses or conceal information;

b) Developing, distributing, or utilizing technologies that infringe upon or enable others to infringe upon the terms outlined herein, including technologies that mask IP addresses or obscure content, personal and transaction details;

c) Providing any false, misleading, or deceptive information to TRADIIFY in any manner;

d) Uploading or transmitting viruses or any other form of malicious code that may disrupt the functionality or operation of the Service, associated websites, or the internet at large.

  1. Accessing, altering, or utilizing restricted areas of the platform, including content storage, TRADIIFY’s computer systems, or the technical systems of our service providers.

  2. Using the Services to disseminate deceptive or fraudulent source-identifying information, such as emails falsely purporting to be from TRADIIFY, or engaging in actions that interfere with or disrupt the access of any user, host, or network. This includes, but is not limited to, transmitting viruses, overloading systems, flooding, spamming, or otherwise imposing undue burdens on the Services.

  3. Users are strongly advised against engaging in any dubious or suspicious conduct on or through the Platform or Services. In the event of any questionable or significant transactions, TRADIIFY reserves the right, but not the obligation, to verify such activity. This may include disclosing your IP address, KYC details, and/or other pertinent information to the appropriate authorities. If deemed necessary, TRADIIFY may suspend transactions or restrict access to the Platform to ensure compliance and security.

  4. Users of the Platform are expected to conduct themselves with civility and respect towards others, and must avoid engaging in toxic, trolling, or harassing behavior, including mental or emotional harassment. It is expressly prohibited to impersonate other individuals, use their personal information or contact details without authorization, create accounts in their name, or fraudulently claim any association with such individuals.

  5. Any actions that disrupt or compromise the security features of the Platform, including but not limited to disabling or bypassing measures designed to prevent or restrict the use or copying of content, or attempting to uncover the source code or contents of any part of the Platform (except where explicitly permitted by applicable law), are strictly prohibited and will result in a ban from the Platform.

  6. Automated programs or other methods used to gather, create, or manipulate usernames or email addresses are prohibited. Additionally, users are not permitted to sell or transfer user profiles to any third party without the express written consent of TRADIIFY.

  7. Spamming, defined as excessive use of capital letters, repetitive content, or an excessive number of exclamation marks, which disrupts the functionality of the service, is strictly prohibited.

  8. The alteration of certifications issued by TRADIIFY, including their use for illicit or fraudulent purposes, as well as the invalid generation or false application of TRADIIFY certificates, is strictly prohibited. TRADIIFY reserves the right to take rigorous actions against any user engaging in such activities. This may include filing formal complaints and initiating legal proceedings with the appropriate authorities.

  1. TRADIIFY’S RIGHTS 

    1. Ownership: All rights, title, and interest in the TRADIIFY platform and Services—including our website, applications, APIs, databases, tools, and courses—along with the content provided by our employees or partners (excluding content provided by mentors and students) are solely owned by TRADIIFY. These assets are protected by The Trade Marks Act of 1999 and the Trade Marks Rules of  2017, the governing trademark laws in India. These assets will also be safeguarded by the relevant international trademark and intellectual property laws in the additional jurisdictions as may be obtained by TRADIIFY. 

    2. Usage Restrictions: You do not have permission to use the TRADIIFY name, trademarks, logos, domain names, certificates, or any other distinctive brand elements, except as expressly allowed by these Terms. These are the exclusive property of TRADIIFY and only TRADIIFY retains the ownership over such property.

    3. Feedback: Any feedback, comments, or suggestions you provide regarding TRADIIFY or its Services are entirely voluntary. TRADIIFY may use, modify, or incorporate such feedback at its discretion without any obligation or compensation to you.

    4. Content Moderation and Amendment: TRADIIFY retains the right to review, moderate, and amend content generated by mentors to enhance user experience, ensure compliance with platform standards, and optimize technological integration. This includes the right to remove or modify content that violates our policies or does not meet platform requirements.

    5. Platform and Service Modifications: TRADIIFY reserves the right, in its sole discretion, to modify, update, or discontinue any aspect of the platform or Services at any time, including the introduction of new features or the discontinuation of existing ones. Users will be notified of material changes through prominent means on the platform notifications.

    6. User Account Management: TRADIIFY reserves the right to suspend, terminate, or restrict access to user accounts that violate our Terms of Use, engage in fraudulent or illegal activities, or otherwise disrupt the platform. This includes the right to investigate any suspected violations and take appropriate action, including reporting to relevant authorities if necessary.

    7. Waiver and Enforcement Rights: A delay or failure by TRADIIFY in exercising any rights or remedies under these Terms does not constitute a waiver of such rights or remedies. TRADIIFY may choose to enforce these rights at any time, and a waiver of any specific right in one instance does not constitute a general waiver of that right.

  2. TAX LIABILITY

All course fees on the TRADIIFY platform are inclusive of any applicable taxes. This may include Value Added Tax (VAT) or other relevant local taxes based as may be applicable to TRADIIFY. Any applicable taxes will be factored into the course fees and collected at the time of purchase.

You are responsible for paying any and all taxes, duties, or other governmental charges that may arise from your use of the Platform and purchase of courses. TRADIIFY reserves the right to modify course fees to reflect any changes in applicable tax rates or regulations. TRADIIFY will collect and remit these taxes to the appropriate tax authorities in each jurisdiction as required by law.

  1. GENERAL CONDITIONS

When accessing or using the TRADIIFY Platform or Services, users are strictly prohibited from transmitting any harmful code, including but not limited to worms, viruses, or any other programming that may compromise the integrity or functionality of the Platform. Furthermore, users are expressly forbidden from reproducing, duplicating, selling, reselling, or otherwise exploiting any portion of the Services provided by TRADIIFY. The User must comply with the following general conditions:

  1. Access to your TRADIIFY Account is strictly limited to the use of your unique login credentials and other necessary authentication measures. TRADIIFY mandates the implementation of multi-factor authentication to ensure the utmost security and protection of your User Account.

  2. By accessing or using the Platform or Services, you agree to receive all communications, including but not limited to messages, agreements, documents, notices, and disclosures, from TRADIIFY electronically. These communications will be provided to you through various electronic means, including but not limited to postings on the Platform and notifications sent through designated channels.

  3. The User is responsible for providing TRADIIFY with accurate and up-to-date contact information and must promptly update such information as necessary. If TRADIIFY sends you an electronic communication and you fail to receive it due to reasons such as incorrect or outdated contact information, a blocked service provider, the communication being diverted to your spam folder, or any other reason that prevents you from accessing the communication, it shall nonetheless be deemed that TRADIIFY has provided the communication to you, and it shall be legally binding. Should any email correspondence be undeliverable, TRADIIFY reserves the right to restrict your access to the Services or your TRADIIFY Account until you provide a new and valid email address or verify the old email address, and, if necessary, complete any additional verifications or investigations required by TRADIIFY.

  4. TRADIIFY retains full authority over the management and security of user data on its platform. This encompasses all personal, content activity and transactional information, which may be disclosed to legal authorities in instances of account suspension or termination arising from investigations into fraud, unlawful activities, legal violations, or breaches of these Terms of Use. Such oversight is implemented to ensure compliance and to protect against unauthorized activities.

  5. The "Transaction History," is a record of your previous transactions, is readily accessible on TRADIIFY at any time. This history provides a comprehensive log of all courses purchased or subscribed to, payments made, cancellations, refunds, pending transactions, deposits, and redemptions. Additionally, it reflects the current balances in both your account and the courses remaining in your cart.

Any breach or violation of these Terms may result in the immediate termination of access to TRADIIFY's Services for the offending user. To ensure a safe and secure environment for all users, strict adherence to these guidelines is required.

  1. MISCELLANEOUS

    1. Binding Terms: 

      1. Acceptance of Terms: By accessing or using the TRADIIFY platform and Services, you agree to be bound by these Terms of Use, which constitute a legally binding agreement between you and TRADIIFY. If you do not agree to these Terms, you must immediately cease all use of our Services. If you are using our Services on behalf of an organization, you affirm that you have the authority to bind that entity to these Terms.

      2. Language and Interpretation: Any translations of these Terms provided for convenience are not binding. In the event of any conflict or discrepancy between versions, the English version of these Terms shall govern and prevail.

      3. Non-Waiver of Rights: A delay or failure by TRADIIFY to exercise any rights or remedies under these Terms does not constitute a waiver of those rights or remedies. TRADIIFY retains the right to enforce these Terms at any time. Similarly, any waiver of a right or remedy on a specific occasion does not imply a waiver of that right or remedy in the future.

      4. Survival of Terms: The following provisions shall survive any expiration or termination of these Terms of Use: (Course Registration and Continued Access), (TRADIIFY’s Rights),  (Using TRADIIFY at Your Own Risk), (Disclaimers),  (Miscellaneous Legal Terms), and (Dispute Resolution).

    2. Disclaimers

      1. Disclaimer on Service Modifications and Performance Limitations:

TRADIIFY reserves the right to modify or discontinue services without liability for any resulting damages and is not responsible for service delays or failures due to events beyond its control.

  1. Disclaimer of Warranties and Service Performance:

TRADIIFY provides its services and content "as-is" without any warranties, and is not liable for any damages or losses arising from platform issues, security breaches, or other disruptions. Your use of the services is entirely at your own risk.

  1. Disclaimer on Financial Decisions and Investment Risks:

You are solely responsible for any financial and investment decisions made based on TRADIIFY's content. TRADIIFY does not endorse or influence investment choices and disclaims any liability for financial losses from market activities.

  1. Disclaimer on TRADIIFY Certificates and Qualifications:

TRADIIFY certificates confirm course completion but do not constitute formal qualifications, academic credit, or professional credentials. They are not recognized by employers or academic institutions and do not guarantee expertise. TRADIIFY is not liable for any damages resulting from the use or reliance on these certificates, which hold no formal academic or professional value.

  1. Certification Validity and Recognition Disclaimer: 

TRADIIFY certificates are not formally recognized qualifications and may not be accepted by employers or educational institutions. TRADIIFY makes no guarantees about their acceptance and is not liable for any consequences if the certificate is deemed invalid or unacceptable. Users are responsible for ensuring that the certificate meets any specific requirements for their intended use.

  1. Mentor Authorization and Compliance Disclaimer: 

Mentors on the TRADIIFY platform must ensure their responsibility that they have valid licenses and credentials required by their jurisdiction to provide educational services. They are prohibited from misrepresenting their qualifications. TRADIIFY disclaims liability for any damages caused by a mentor's false credentials and reserves the right to take legal action in such cases. Users acknowledge that TRADIIFY is not responsible for verifying mentor qualifications and accept these terms when engaging with mentors on the platform.

  1. Disclaimer of Relationship: 

You and TRADIIFY agree that nothing in these Terms of Use shall be construed to create a joint venture, partnership, employer-employee relationship, contractor relationship, or agency relationship between you and TRADIIFY. Both parties acknowledge and agree that they are acting as independent entities, and neither party has the authority to bind or obligate the other in any manner.

  1. Limitation of Liability: There are inherent risks associated with using our Services. For instance, if you engage with financial content or courses, and you make investment decisions that result in financial loss, you accept these risks fully. By using our platform and Services, you agree that TRADIIFY, along with its affiliates, suppliers, partners, and agents, shall not be liable for any loss or damage incurred, even if such loss or damage arises from your use of our platform and Services.

To the extent permitted by law, TRADIIFY (and its affiliates, suppliers, partners, employees and agents) shall not be liable for any indirect, incidental, punitive, or consequential damages. This includes, but is not limited to, loss of data, revenue, profits, business opportunities, or any personal injury or financial loss. This exclusion of liability applies whether the damages arise under contract, warranty, tort, product liability, or otherwise, and regardless of whether we have been advised of the possibility of such damages in advance. 

  1. Exclusion of Liability: To the fullest extent permitted by law, TRADIIFY, along with its affiliates, suppliers, partners, and agents, shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Services. This includes, but is not limited to, damages for loss of profits, goodwill, data, or other intangible losses, as well as damages resulting from platform downtime, inaccurate or misleading content, security breaches, or any other service disruptions.

  2. User Responsibility: You acknowledge and agree that any reliance on or use of the Services, including content provided by mentors, is solely at your own risk. TRADIIFY expressly disclaims any liability for investment losses or damages incurred as a result of actions taken based on information or training received through the platform.

  3. Limitations on Liability for Mentors: TRADIIFY shall not be held liable for any damages or losses arising from the actions or omissions, education, knowledge, information, skills, training or advice of mentors, including any false or misleading claims regarding their qualifications or licenses. 

  4. Force Majeure: TRADIIFY shall not be liable for any delays or failures in the performance of its obligations under these Terms of Use resulting from events beyond its reasonable control. This includes, but is not limited to, acts of war, natural disasters, internet or telecommunication outages, or governmental restrictions.

  1. Indemnification

You agree to indemnify, defend (if requested by TRADIIFY), and hold harmless TRADIIFY, its affiliates, and their respective officers, directors, employees, agents, partners, and representatives from any third-party claims, demands, losses, damages, or expenses, including reasonable attorneys' fees, arising out of or related to: (a) any content you post or submit; (b) your use of the Services; (c) your violation of these Terms of Use; or (d) your infringement of any third-party rights. This indemnification obligation will survive the termination of these Terms and your use of the Services. By accepting these Terms, you acknowledge your duty to provide such indemnification and defense as required. 

You hereby irrevocably release and discharge TRADIIFY, its affiliates, and their respective officers, directors, employees, and agents from any and all costs, damages, liabilities, or other consequences resulting from the actions or omissions of any third-party vendors or service providers. Furthermore, you expressly waive any and all claims or demands that may arise against TRADIIFY, its affiliates, or their respective officers, directors, employees, and agents, whether under statute, contract, or any other legal theory, in relation to such third-party actions or omissions.

  1. Claim Settlement, Dispute Resolution, Governing Laws, and Arbitration

    1. Claim Settlement and Dispute Resolution: In the event of any dispute or disagreement arising out of or relating to these Terms of Use or the services provided by TRADIIFY, the parties involved are encouraged to resolve such disputes through informal discussions, negotiation, or arbitration as outlined below. 

You acknowledge and agree to waive any right to a court trial, including trials by judge or jury. Furthermore, you consent to the resolution of claims on an individual basis, foregoing any right to participate in or bring forward class action claims. Claims from multiple users cannot be aggregated or merged in arbitration or court proceedings.

If a dispute cannot be resolved informally, it shall be subject to binding arbitration in accordance with the provisions detailed herein. This arbitration agreement applies to you, TRADIIFY, and its directors, officers, employees, affiliates, agents, contractors, and other related parties.

Before initiating arbitration, the disputing party must send a Notice of Dispute, which clearly details the nature of the claim, the basis for the dispute, and the relief sought. This notice must be delivered via registered mail to TRADIIFY's registered office. If the dispute is not resolved within 30 days of sending the notice, arbitration may then be pursued.

All legal disputes, questions, or claims related to this agreement—including its formation, validity, interpretation, execution, infringement, or termination, as well as any non-contractual obligations—will be finally resolved through arbitration. TRADIIFY and you commit to first attempt resolving any disputes through diligent, good-faith negotiations before pursuing formal legal action or arbitration, ensuring an equitable resolution.

  1. Governing Laws: These Terms of Use, along with any additional agreements through which TRADIIFY provides its services to you, shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates (UAE). The Courts of Dubai, UAE shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms of Use. Each of the Parties agrees that, if any dispute(s) or difference(s) shall arise between the Parties in connection with or arising out of these Terms of Use, the Parties shall attempt, for 30 (thirty)days from the receipt of a notice from the other Party of the existence of a dispute(s), to settle such dispute(s) by mutual discussions between the Parties. If the said dispute(s) cannot be settled by mutual discussions within the thirty days provided above, either Party may refer the matter to a sole neutral arbitrator to be mutually appointed and accepted by the parties. 

Any dispute relating to these Terms of Use and any non-contractual obligations arising out of or in connection with it are governed by United Arab Emirates (UAE) Arbitration Law as stipulated under Federal Law No. 6 of 2018.

The Dubai International Arbitration Centre (DIAC) shall have the power to rule on any challenge arising from these Terms or to the validity or enforceability of any portion of the Terms to arbitrate. The Parties agree to arbitrate solely on an individual basis, and that these Terms do not permit class arbitration, or any claims brought as a plaintiff or class member in any class or representative arbitration proceeding.

  1. Arbitration: Any dispute arising out of or in connection with these Terms of Use, including any question regarding its existence, validity, or termination, upon which an amicable understanding cannot be reached shall be settled by arbitration in accordance with the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), except as hereinafter provided, and judgment upon the award entered by the arbitrators may be entered in any Court having jurisdiction thereof. The parties agree that the arbitration, if implemented under these Terms of Use, shall be conducted in English and the seat and venue of the arbitration shall be Dubai. 

The decision of the arbitrator shall be final and binding and there shall be no appeal therefrom. The arbitrator shall not be bound by legal rules of procedure and may receive evidence in such a way as to do justice between the parties. The arbitration award shall be final and binding upon the parties and persons claiming under them respectively. 

  1. Costs and Attorneys' Fees: The cost of arbitration, including but not limited to the fees of the arbitrator and attorneys, shall be borne by the losing party unless the arbitrator shall decide that, in light of the circumstances, such would be inequitable, in which case the arbitrator shall allocate costs among the parties. 

You and TRADIIFY agree that each party will bear its own costs and attorneys' fees in the event of a dispute. However, either party may recover fees and costs to the extent permitted by applicable law. If a court or arbitrator determines that an arbitration has been initiated or threatened in bad faith, is frivolous, or has been asserted for an improper purpose, the court or arbitrator may, to the fullest extent permitted by law, award attorneys' fees to the party defending against such a claim, similar to what a court would award.

  1. Amendment of these Terms: 

TRADIIFY reserves the right to periodically revise these Terms to clarify our policies or to accommodate changes in our services, including the introduction of new features. We may, at our sole discretion, modify or amend these Terms at any time. Should any material modifications occur, we will provide you with notice through prominent channels, such as by sending an email to the address associated with your account or by posting a notification on our platform. Unless otherwise specified, such modifications will become effective as of the date of posting. Your continued use of TRADIIFY’s Services following the effective date of any amendments constitutes your acceptance of the revised Terms. The latest version of these Terms shall supersede all prior versions.
